Terms of sale and study
What you are buying, how a course is delivered, and what our academic credit does and does not entitle you to.

1. Who these terms are between
They are between you and [registered legal entity name] (“UpThink”, “we”), a [entity type, e.g. Delaware LLC] registered at [registered address]. Buying a course or a programme on this site means you accept them.
This site trades as LearnStatistics. UpThink operates it, and UpThink is the provider named in the ACE credit recommendations and in every university partnership described below.
If you are buying on behalf of an employer or a sponsor, you confirm you may commit them to these terms.
2. What you are buying
- A course is a place on one dated run of one subject. It has a fixed start date, an instructor who sets and marks your work, and it is taught online in Canvas.
- A programme is every course in that programme bought in a single payment, below the price of buying them one at a time. Buying a programme enrols you in nothing and holds no seat. It gives you the right to take each of those courses, which you take up one at a time by choosing a start date when you are ready.
- Where a programme includes electives, it grants a number of elective placesrather than named courses. Each place is spent on a course you pick from that programme’s elective list, at the moment you choose that course’s start date.
- A programme covers the courses it contained on the day you bought it. Changing what is in the programme afterwards does not change what you own.
- Nothing you buy expires. There is no deadline to use a course from a programme and nothing to renew.
What you are not buying is a qualification. We teach and mark courses. Degrees are awarded by universities — see section 6.
3. Enrolment, dates and delivery
- Registration for a run is separate from its teaching dates. A run can have a future start date and already be closed to new registrations; the course page always shows which.
- A seat is held for ten minutes while you are at the payment page. If payment does not arrive, the seat is released and you are not enrolled.
- Your place is confirmed once payment is confirmed. We then create your account in Canvas if you do not have one, enrol you, and email you your sign-in details. This normally happens within minutes.
- Your Canvas sign-in is the email address you give at checkout. Use one you can receive mail at — you cannot be enrolled without it.
- Courses are delivered entirely online. There is no in-person component and no scheduled live attendance requirement unless the course page says otherwise.
- A run’s end date may be extended. We do not shorten a run after it has started.
- The minimum technical requirement is a current web browser and an internet connection. Where a course needs particular software, the course page says so. [TO BE CONFIRMED — whether any software licence is supplied by us]
4. Price and payment
- Prices are in US dollars and are shown on every course and programme page. The price you pay is the price shown at checkout.
- Payment is taken by Stripe, on Stripe’s own pages. We never see or store your card details — see our privacy notice.
- We do not offer instalments or a monthly plan. A programme is paid in full.

5. Refunds, cancellations and transfers
There is no published policy on any of this yet, and none is implied by this page. Each of the following is an open decision:

Until this section is written, get in touch and we will deal with your case individually. Nothing on this page affects rights you have under the consumer law that applies to you.
6. Academic credit
- Selected courses carry credit recommendations from the American Council on Education (ACE), the body US colleges use to evaluate coursework taken outside a university.
- An ACE recommendation is a recommendation, not an award. Every institution decides for itself whether to accept it, on its own terms, and may decline. We cannot guarantee that any institution will accept any credit from any course, and nothing on this site should be read as such a guarantee.
- Most courses are sold direct and involve no university at all. Some are additionally covered by a partnership with a named university, under which that university awards a degree and the specialist coursework is taught by us. Which universities, and which courses each covers, is published on our credit page and may change.
- Courses taken through UpThink are not eligible for federal financial aid.
- Each partner university publishes its own limits on what this coursework counts towards — including, where applicable, that it does not count towards a residency requirement. Those limits are that university’s own statements, they apply only to it, and every one currently in force is set out on the credit page under the name of the university that publishes it.
- We state a credit-hour figure for a course only where we have verified it. Where no figure is shown, none has been confirmed, and you should not assume one.
- We report completions to a partner university only for students whose account carries an address issued by that university. If your account carries no such address, we do not know you are their student and nothing is filed. That is the normal case.

7. Your account and your work
- One account per person. Your Canvas sign-in is yours alone; do not share it or let anyone else submit work as you.
- We hold no password of yours. Sign-in on this site is through Canvas, which owns the credential.
- Work you submit must be your own. Where a course allows collaboration or particular tools, its instructions say so.

8. Changes to a course
Curricula, instructors, materials and schedules change. We may change the content of a course, the instructor teaching a run, or the dates of a run that has not started. Where a change is material we will tell registered students. What you are entitled to as a result depends on section 5, which is not yet written.
We may withdraw a course from sale at any time. That does not affect courses you have already bought.
9. Availability of the service
We aim to keep the store and Canvas available, but neither is guaranteed to be uninterrupted. Planned maintenance, a supplier outage or something outside our reasonable control can interrupt access. Where an outage affects a deadline in a course, the instructor will make reasonable allowance for it.
10. Liability

11. Governing law and disputes

12. Changes to these terms
We may update these terms. The version that applies to a purchase is the one published here on the day you made it, and material changes will be dated at the top of this page. Continuing to use the site after a change means you accept the current version.
